General Terms of Sale

Commercial terms governing subscription purchases.

1. Scope

These General Terms of Sale ("GTS") apply to all purchases of subscription plans for the Black Cat Security SaaS Security Posture Management platform. By placing an order, you accept these GTS in full. These GTS supplement and are to be read in conjunction with our Terms of Service.

2. Pre-Contractual Information

In accordance with Articles L221-5 and L221-11 of the French Consumer Code (Code de la consommation), the essential characteristics of the services, their price, and all relevant contractual information are provided to you before any order is placed. This information is available on our website and in these GTS, ensuring you can make an informed decision.

3. Products and Services

The services offered consist of subscription plans to the Black Cat Security SSPM platform. Each plan provides access to specific features, usage limits, and support levels as described on our pricing page. The precise features included in each plan are detailed at the time of purchase and may evolve over time with reasonable notice.

4. Pricing

Prices are displayed on the website and are indicated inclusive of all applicable taxes (including VAT) for consumer customers. For business-to-business transactions, prices are indicated exclusive of VAT, which is added at the applicable rate at checkout. Prices are subject to change; however, any price change will be communicated at least 30 days in advance and will only apply to new subscription periods.

All payments are processed by Paddle.com Market Ltd ("Paddle"), acting as our Merchant of Record. Paddle is responsible for collecting the applicable VAT and issuing invoices.

5. Ordering Process

Orders are placed through the Black Cat Security website. The ordering process involves selecting a subscription plan, providing the required account information, and completing payment through Paddle's secure checkout. An order confirmation will be sent to you by email upon successful payment. The contract is formed at the moment Paddle confirms receipt of your payment.

6. Payment

All payments are processed and collected by Paddle on behalf of Black Cat Security. Accepted payment methods are those made available by Paddle at checkout and may include credit cards, PayPal, and other methods. Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected) and renew automatically at the end of each billing period unless cancelled before the renewal date.

7. Right of Withdrawal

In accordance with the EU Consumer Rights Directive (Directive 2011/83/EU) and Articles L221-18 to L221-28 of the French Consumer Code, consumer customers have a 14-day right of withdrawal (droit de rétractation) from the date of purchase, without needing to provide a reason.

However, if you have given your explicit prior consent to the immediate provision of the digital service and have expressly acknowledged that you thereby waive your right of withdrawal, the right of withdrawal may be waived in accordance with Article L221-28 of the Consumer Code. If you exercise your right of withdrawal after having begun using the service, you will be charged a proportionate amount corresponding to the service provided up to the date of withdrawal.

As a digital service, the Black Cat Security platform is made available immediately upon successful payment and account activation. No physical delivery is required. Access credentials are provided to you by email or through the platform's registration process.

In accordance with Articles L612-1 and following of the French Consumer Code, in the event of a dispute that cannot be resolved directly with Black Cat Security, consumer customers are entitled to refer the matter, free of charge, to a consumer mediator. Our designated mediator is:

13. Applicable Law and Jurisdiction

These GTS are governed by French law. For professional customers, any disputes shall be submitted to the exclusive jurisdiction of the courts of Paris, France. For consumer customers, disputes shall be submitted to the courts of the consumer's domicile, in accordance with mandatory consumer protection rules.
